These terms govern paid campaign delivery audits supplied by Meyppi. They are referenced in every quote and engagement letter, which together form the agreement for each engagement.

Scope of an audit

An audit verifies whether contracted, pre-produced audio creatives appeared in independently observable published media, including pre-produced spots in video podcasts (matched on the audio track): which placements ran, which version, at what position, and for how much of the contracted runtime. Scope, sources and any exclusions are confirmed in writing before work starts. Dynamic ad insertion, host-read verification and legal testimony are outside current scope; FM radio audits are offered as a pilot with stated recording-disclosure terms.

Client obligations

  • Supply master creative files for every contracted version, the insertion order or placement plan, and campaign dates.
  • Confirm the right to provide the creatives and any recordings supplied.
  • Make media access available where the audit depends on it, and identify a contact for contract questions.

Confidentiality

Each party keeps the other's non-public material confidential and uses it only for the engagement. Client campaign material is not published or shared; findings belong to the commissioning party. A mutual NDA is available on request.

Ownership

The client owns its creatives, media and the delivered report and evidence exports. Meyppi retains its methodology, engine and aggregate, non-identifying calibration knowledge. Published use of report excerpts is fine; please do not alter findings when quoting them.

No warranty of legal admissibility

Reports are algorithmic findings with documented methodology, evidence and confidence values. They are supplied as evidence for commercial reconciliation and reporting, without warranty of admissibility in any legal proceeding.

Payment

A fixed quote per campaign is agreed in writing before work starts. Invoicing terms, including any advance and the invoice due period, are stated in the quote. Prices are exclusive of applicable taxes unless stated otherwise.

Limitation of liability

Each party's aggregate liability under an engagement is capped at the fees paid for that engagement. Neither party is liable for indirect or consequential losses.

Termination

Either party may terminate an engagement in writing; work completed to that date is invoiced pro rata and delivered material is handled per the retention terms.

Governing law

Governed by the laws of India, with exclusive jurisdiction in the courts of the city of Meyppi's registered office.
